1. Introduction
Welcome to Piping.Tools (“we,” “us,” or “our”). By accessing or using our website and software services (the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you (“User,” “you,” or “Customer”) and Piping.Tools, a company registered in Ireland.
2. Nature of the Service
Piping.Tools provides software solutions for the industrial construction and engineering sectors, including but not limited to automated Bill of Materials (BOM) extraction and Weld Log generation.
3. IMPORTANT: AI Disclaimer & Limitation of Liability
Please read this section carefully.
3.1. Artificial Intelligence Assistant, Not a Professional Engineer
The Service utilizes advanced Artificial Intelligence (AI) and Machine Learning technologies to analyze engineering drawings and data. While we strive for high accuracy, AI can and does make mistakes.
- No Professional Advice: The outputs generated by Piping.Tools do not constitute professional engineering, surveying, or architectural advice.
- Human Verification Required: You acknowledge that the Service is designed to function solely as an assistant to qualified human professionals. You agree that you are solely responsible for verifying all data, measurements, material specifications, and weld details generated by the Service before using them for procurement, fabrication, or construction.
3.2. Exclusion of Liability for Errors
We accept no liability for:
- Inaccuracies, errors, or “hallucinations” in the AI output.
- Material shortages, fabrication errors, or construction delays resulting from reliance on unverified data.
- Non-compliance with specific project codes (e.g., ASME, API) based on our outputs.
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
4. User Accounts & Security
- Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information.
- Credentials: You are responsible for safeguarding your password. You agree not to disclose your password to any third party.
- Team Accounts: If you are accessing the Service on behalf of a company (e.g., “United Group Services”), you represent that you have the authority to bind that entity to these Terms.
5. Fair Use & Acceptable Use Policy
To ensure the stability and availability of our Service for all users, you agree to the following:
- No Automated Scraping: You may not use bots, spiders, or scripts to access or extract data from the Service outside of our official API (if provided).
- Reasonable Use: Subscriptions described as “Unlimited” are subject to a Fair Use Policy. If your usage significantly exceeds the average usage of typical customers (e.g., processing thousands of drawings per hour via automation), we reserve the right to throttle your access or terminate your account.
- No Reverse Engineering: You may not attempt to reverse engineer, decompile, or copy the underlying algorithms or source code of Piping.Tools.
- Prohibited Content: You may not upload drawings or data that contain unlawful, offensive, or malicious content (viruses, malware).
6. Intellectual Property
6.1. Your Data
You retain all rights and ownership of the documents, drawings, and data you upload to the Service (“User Data”). By uploading User Data, you grant us a worldwide, non-exclusive license to process that data solely for the purpose of providing the Service to you.
6.2. Our Technology
Piping.Tools and its original content, features, and functionality (including the AI models and processing logic) are and will remain the exclusive property of Piping.Tools and its licensors.
7. Payment & Subscription Terms
- Billing: Services are billed on a recurring basis. You authorize us to charge your payment method for these fees.
- Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle. We do not provide refunds for partial months.
- Price Changes: We reserve the right to modify pricing with at least 30 days' notice. Continued use after the change constitutes acceptance.
8. Limitation of Liability (Financial)
To the maximum extent permitted by applicable law (including Irish Law), in no event shall Piping.Tools be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.
Our total cumulative liability to you for any claims arising out of or relating to these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months prior to the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless Piping.Tools and its employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:
- Your use of and access to the Service.
- Your violation of any term of these Terms.
- Any claim that your User Data caused damage to a third party.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ireland.
